Our client is one of the world's largest independent, full-service investment banking firms; headquartered in the U.S. They are a market leader in providing insight, expertise and execution to investors, companies and governments. They provide a full range of investment banking, advisory, sales and trading, research and wealth management services across all products in the Americas, Europe and Asia.
There German subsidiary is regulated by BaFin. The entity is relatively new and currently has limited operations, but it will be the entity through which all EU business will be conducted post-Brexit
Position
The Head of Legal will, at least initially, be the sole legal representative. The individual will work closely with the London Legal department and will report into the European General Counsel and a member of the Management Board.
The primary day-to-day responsibility of the Head of Legal is to monitor and support European capital markets and M&A transactions. This entails negotiating engagement letters and transaction agreements with clients, managing external transaction counsel, monitoring transaction execution and enforcing internal policies and procedures. The Head of Legal, with support from London-based specialists, will also be involved in local employment, data protection, and sales and trading matters, and will provide ad hoc legal advice to the business.
The Head of Legal also acts as company secretary to the Board of Directors and its branches. The individual also works closely with Compliance and Risk to implement regulatory changes and respond to requirements of BaFin and Bundesbank.
Finally, the Head of Legal will work with London to roll-out training to the business and to update Jefferies' internal policies.
Person Specification
*At least 5 years of relevant experience in-house or with a law firm working on capital markets/corporate transactions.
*German qualified lawyer with around 5 years post qualified experience
*ECM- capital markets experience
*Fluent in both English and German
*Regulatory experience desirable
*Experience working in-house at a bank desirable
